Overview

Why You Should Attend

In this virtual Workshop for SEC reporting professionals, building on the materials discussed in our Foreign Private Issuer 101 Reporting Essentials Workshop, you will develop the practical knowledge base, skills and tools needed to draft and review Part I of the Form 20-F Annual Report for foreign private issuers (FPIs). This program focuses on disclosure requirements for key information about the company, including risk factors; directors, shareholders, and related matters; and qualitative and quantitative disclosures regarding market risks. Please note that the Part II and Part III item requirements of the Form 20-F are addressed in our Form 20-F (Part Two) Essentials Workshop and that the Operating and Financial Review and Prospects (Item 5 of the Form 20-F) is addressed in our MD&A SEC Reporting Essentials Workshop. This is an interactive Workshop (via Zoom), and open discussion is encouraged through breakout sessions. The Workshop includes online access to PLI’s SEC Reporting Handbook.


What You Will Learn

After completing this Workshop, participants will be able to:

·      Navigate the instructions to the Form 20-F, including deadlines and possible extensions through Rule (and Form) 12b-25

·      Prepare and review the Form 20-F cover page

·      Utilize Regulations S-X and S-K as well as SEC guidance in preparing or reviewing Items 1 through 12 (except for Item 5) of the Form 20-F, including information about the company, its business and its management, and risk factors regarding investments in the company’s securities

·      Understand and review the qualitative and quantitative market risk disclosure requirements

·      Understand the requirements for specialized industry disclosures


What You Should Bring

To customize your Workshop and gain the most benefit from this interactive learning experience, we recommend you have access to your company’s or a client’s most recent SEC Form 20-F. If you work with a company that is not yet public, filings from a company in your industry are a reasonable alternative.

Prerequisites

Attendees should have some prior experience with SEC reporting and foreign private issuer matters. We recommend first attending our Foreign Private Issuer 101 Reporting Essentials Workshop so that you have the foundational tools and skills necessary for this program.
