Overview

This presentation is an introductory course in legal opinions and negative assurance letters delivered in connection with securities offerings.

During this session expert faculty will discuss, among other things:

  • Due diligence that must be performed and practical things to keep in mind when delivering legal opinions (15 minutes);
  • Typical opinions delivered in securities offerings and related assumptions and qualifications (30 minutes); and
  • The fundamental aspects of negative assurance letters (15 minutes).



Who Should Attend: In-house counsel, outside attorneys, accountants, finance and other allied professionals interested in gaining a better understanding of legal opinions in securities offerings
